Unilever's Food Division Sale Talks#

Unilever Plc has confirmed that it is in discussions with U.S. spice manufacturer McCormick & Company regarding a possible sale of its Foods business. This news comes after McCormick made an offer, leading to a rise in Unilever's shares during trading in London.

Overview of Unilever's Foods Division#

The Foods division includes well-known brands such as Hellmann’s mayonnaise, Knorr soups, Marmite, and Colman’s. Last year, this division generated over €12.9 billion in sales, accounting for about 25% of Unilever’s total revenue. Unilever's Board considers the Foods business to be strong and believes it has a bright future, even as discussions about a sale are ongoing.

Details of the Potential Deal#

Both Unilever and McCormick have stated that there is no guarantee a deal will be finalized, and they have not disclosed any financial specifics. According to reports, the potential transaction could be structured as an all-stock deal and might be completed within weeks if negotiations proceed smoothly. The Foods unit could be valued at tens of billions of dollars, while McCormick currently has a market capitalization of around $14.8 billion.

Strategic Shift for Unilever#

If the sale goes through, it would represent a significant step in CEO Fernando Fernandez’s strategy to shift Unilever's focus towards higher-margin beauty and personal care products. This follows the company's recent decision to spin off its ice cream business. Earlier this year, Unilever also considered merging its food assets with Kraft Heinz’s condiments business, but those discussions did not advance. A merger would combine McCormick’s Cholula hot sauce with Unilever’s existing condiments portfolio.
