Introduction#

Vistry Group PLC has announced that Rob Woodward CBE will become the non-executive chair of the board, starting after the annual general meeting (AGM) on May 13, 2026. He will replace Greg Fitzgerald, who is stepping down from his role as executive chair.

Leadership Transition#

Greg Fitzgerald will also retire as CEO but will remain in the position for up to 12 months or until a successor is found. This transition is part of a broader leadership change within the company, aimed at ensuring a smooth handover of responsibilities.

Rob Woodward's Background#

Rob Woodward has been a part of Vistry Group since May 2024, serving as the non-executive senior independent director and chair of the nomination committee. In his new role, he will focus on governance matters, engage with investors, and lead the recruitment of new non-executive directors. Woodward brings extensive experience from both public and private sectors, having previously been the CEO of STV Group plc for over a decade and currently serving as chair of Ebiquity plc.

Future Roles#

Starting May 13, 2026, Woodward will step down from the audit committee and remuneration committee but will continue as chair of the nomination committee. The board believes that he will be independent upon his appointment as chair, in line with the UK Corporate Governance Code. Additionally, Rowan Baker has been appointed as senior independent director, effective from the same date, and will remain chair of the audit committee.
