Details of the Fee Reduction#

The performance fees for Pershing Square Holdings will decrease by an amount equal to 20% of the management fees earned by its investment manager, Pershing Square Capital Management, L.P., from the newly listed Pershing Square USA. This follows the recent $5 billion IPO of Pershing Square USA, which closed this week. Currently, shares of Pershing Square Inc. are trading at $28, reflecting a 15.7% increase year-to-date. Changes to the Investment Management Agreement#

The reduction in performance fees was established in an amendment to Pershing Square Holdings' Investment Management Agreement (IMA) made in February 2024. Rupert Morley, Chairman of Pershing Square Holdings, highlighted that the 2024 IMA amendment introduces a performance fee offset based on management fees from Pershing Square USA and other funds. He noted that the fees generated from these funds will help Pershing Square Holdings achieve higher long-term returns, especially as the assets under management (AUM) of Pershing Square grow.
